Abstract

The present investigation arises from the definitive recognition in Chile of the one man company phenomenon and, recently, of the Stock Company -SpA- with only one partner, in its original aspect. Its objective specifically points out to explore the real impact of this figure in the dogmatic structure of the Chilean law and specially of the company law, built from the concept of a company considered in the article 2053 of the Civil Code. What is being analyzed here is the one man company figure in compared law and its concrete declarations in the current Chilean law, including the Individual Limited Liability Corporation, explaining ultimately the incardination and the possible effects that can arise the one man company figure in a positive system, inspired originally at least, in the contractual sense of the company in general and the traditional corporative conception of the capital company particularly.
